Legal document and confidentiality concept
Confidentiality & Intellectual Property

Your Drawings.
Protected. Always.

We understand that sharing proprietary designs with an overseas manufacturer is one of the most significant risks in global sourcing. This page documents our binding commitments, operational protocols, and legal frameworks that ensure your intellectual property never leaves our controlled environment without your explicit authorization.

Governed by International Commercial Law  ·  CISG Compliant  ·  Dual-Jurisdiction Enforceable

Formal Commitment -- No Exceptions

Alliance Precision Group formally commits: No customer drawing, specification, or technical document will ever be shared with any manufacturing partner that has not completed our full vetting, qualification, and NDA execution process. This is not a policy preference -- it is a contractual obligation we assume with every engagement.

01 // The Problem We Solve

The Legitimate Fear Behind Every Drawing Upload

Western engineers and procurement teams have valid, well-documented reasons to be cautious about sharing proprietary designs with Chinese manufacturers. We do not dismiss these concerns. We address them systematically.

Unauthorized Replication

Drawings forwarded to unvetted subcontractors can be copied, resold, or used to produce competing products without your knowledge or consent.

Supply Chain Leakage

Multi-tier subcontracting in China means your drawings can pass through multiple parties, each representing an additional point of exposure and risk.

Unenforceable Agreements

Generic NDAs with unvetted factories provide minimal legal protection. Without proper jurisdiction clauses and factory accountability structures, enforcement is effectively impossible.

02 // Our Operating Protocols

How We Enforce IP Protection at Every Stage

Our intellectual property protection framework is not a document -- it is an operational system enforced at every stage of the engagement. Below are the specific protocols we execute on every project, without exception.

01

Bilateral NDA Execution Before Any Technical Disclosure

No drawing, specification, CAD file, or technical document is reviewed, discussed, or transmitted until a fully executed mutual Non-Disclosure Agreement is in place between Alliance Precision Group and the client. Our standard NDA template is available for download below. Clients may also present their own NDA for review.

Binding before first file transfer
02

Verified Factory Qualification & Separate NDA Execution

Every manufacturing partner in our network undergoes a formal qualification process before being considered for any client project. This includes on-site assessment, business license verification, management interviews, and execution of a separate, legally binding NDA that explicitly covers third-party client IP. Unqualified factories receive zero access to client technical data -- under any circumstances.

Zero exceptions -- no unvetted factory access
03

Need-to-Know Technical Document Distribution

Technical documents are distributed strictly on a need-to-know basis. Only the specific drawings and specifications required for a given production step are released to the relevant factory contact. Full drawing packages are never distributed wholesale. Access is logged, version-controlled, and revocable at any stage of the project.

Controlled, logged, and auditable
04

Contractual IP Liability Assignment to Manufacturing Partners

Our manufacturing agreements with partner factories include explicit IP liability clauses. Any unauthorized use, copying, or disclosure of client technical data by a factory partner creates direct contractual liability for that factory -- enforceable under Chinese contract law with liquidated damages provisions. We do not rely on goodwill. We rely on binding obligations.

Enforceable under Chinese contract law
05

Post-Project Technical Data Destruction Protocol

Upon project completion or at client request, all technical documents, CAD files, and specifications held by manufacturing partners are formally recalled and destroyed. Alliance Precision Group retains client files only as required for warranty and quality traceability, subject to the terms of the executed NDA. Clients may request a formal confirmation of destruction at any time.

Confirmed destruction on request
03 // Factory Qualification Standard

Our Manufacturing Partner Vetting Criteria

A factory's willingness to sign an NDA is not sufficient. We assess each manufacturing partner against a multi-criteria qualification standard before they are permitted to access any client project. The following criteria are mandatory -- not aspirational.

Legal Entity Verification

Business license, tax registration, and ownership structure verified through official Chinese government databases. Anonymous or shell entities are disqualified.

On-Site Facility Audit

Physical inspection of production capabilities, equipment calibration records, quality systems, and workforce competency. Remote-only suppliers are not accepted.

Signed Tri-Party Confidentiality Agreement

Each qualified factory executes a separate NDA that explicitly names Alliance Precision Group's clients as protected third-party beneficiaries, with liquidated damages clauses.

Quality Management System Certification

ISO 9001 or equivalent quality management certification required. We review the scope, surveillance audit history, and corrective action records -- not just the certificate.

Subcontracting Disclosure Obligation

Partner factories are contractually prohibited from further subcontracting any portion of a client project without our prior written approval and execution of equivalent confidentiality terms with the sub-tier supplier.

Annual Requalification Review

Factory qualification is not permanent. Annual requalification audits assess ongoing compliance with our IP and quality standards. Partners failing requalification are suspended from all active and future projects.

Non-Disclosure Agreement

Our standard NDA is a bilateral mutual confidentiality agreement drafted for international industrial procurement. It covers proprietary technical data, drawings, specifications, and process information. It includes dual-jurisdiction enforcement provisions and is compatible with both common law and civil law systems. You may execute this template as-is or submit your own for review.

04 // Our Position

We Do Not Treat IP Protection as a Formality

Many suppliers in China will sign an NDA without any intention or mechanism to enforce it. They may forward your drawings to multiple factories simultaneously, use them for competitive benchmarking, or retain them indefinitely after the project concludes.

We operate differently -- not because we are required to by a certification body, but because our business model depends on the long-term trust of international industrial buyers. A single IP breach would be catastrophic to our reputation and our clients' operations. That alignment of interest is the most powerful protection we can offer.

If you have specific concerns about a particular type of component, process, or disclosure scenario, we invite you to contact our team directly. We will address your requirements with specific contractual language before any technical information is exchanged.
